PT BPD Kaltim Kaltara Perform RUPS First Time

Governor with regents and mayors of East Kalimantan and North Kalimantan, Friday, November 3, 2017, attended the General Meeting of Shareholders / RUPS of PT Bank Pembangunan Daerah Kalimantan Timur dan Kalimantan Utara or Bankaltimtara in Mahakam Room Royal Suite Hotel Balikpapan.

This RUPS is the first RUPS after obtaining the legal entity status of BPD Kaltim to become Limited Liability Company (PT) that is to become PT Bank Pembangunan Daerah Kalimantan Timur dan Kalimantan Utara, hereinafter abbreviated as PT BPD Kaltim Kaltara. This refers to SK Menkumham RI Number AHU-0041890.AH.01.01.Tahun 2017 dated 23 September 2017. With the acquisition of the legal entity status, Bankaltim will also change its name to Bankaltimtara. The basis of the execution of this RUPS is Article 13 and 14 of Law Number 40 Year 2007 regarding Limited Liability Company, the Company must conduct the First RUPSno later than 60 (sixty) days after obtaining the legal entity status.

This closed meeting was attended by Governor of East Kalimantan, Awang Faroek Ishak, Governor of Kaltara, Irianto Lambrie, President Commissioner of BPD Kaltim Kaltara Sulaiman Gafur, and President Director of BPD Kaltim Kaltara Zainuddin Fanani.

The RUPS resulted in five decision points, the first of which was to authorize the Board of Commissioners to determine remuneration for the Board of Directors and Board of Commissioners of the Company and determine the Bank's long-term strategy.

Second, agreed to extend Sulaiman Gafur's term of office as President Commissioner (Independent Commissioner) of PT BPD Kaltim Kaltara. Third, agreed to extend the term of office Ismunandar Azis as Credit Director of PT BPD Kaltim Kaltara.

Fourth, agreed to fill the position of Non-Independent Board of Commissioners PT Bank Kaltim Kaltara Shareholder representatives from the provincial government of North Kalimantan. And the latter authorizes the right of substitution to the Board of Directors to transmit any contents of the GMS's resolutions in a notarial deed.
